Amalgamation of the Companies.
We are glad to inform that our six companies namely Mahima Promotors Pvt. Ltd., Silvershine Land Developers Pvt. Ltd. (IRIS I), Paradise Build Home Pvt. Ltd., Grasswood Resorts Pvt. Ltd., Vibhuti Financial Services Pvt. Ltd. and Jaipur Need Nirman Pvt. Ltd. (hereinafter collectively referred to as transferor companies) have amalgamated with our parent company Mahima Real Estate Pvt. Ltd. (hereinafter referred to as transferee company) consequent to the order of Hon'ble High Court of Rajasthan, Jaipur Bench, Jaipur dated 25.07.2008 under section 391 to 394 of Companies Act 1956. A copy of the said order in available at our registered office.
Therefore you are requested to make all the payment(s) in the name of transferee company i.e. Mahima Real Estate Pvt. Ltd. w.e.f. 01.09.08. All the terms and conditions executed by and between the transferor company and yourself through any agreement/ deed, etc. shall remain same and shall be deemed to have been executed by and between transferee company and yourself. A supplementary agreement/ deed (wherever applicable or required) shall be executed to this effect at a later stage to implement the order of Hon'ble High Court. Therefore from 01.09.08 onwards all payments shall be accepted in the name of Mahima Real Estate Pvt. Ltd. only.
